These Terms of Use govern your organisation's access to and use of procurabl.com, the Lexa procurement platform, the Supplier Portal, and related services provided by Procurabl Solutions Private Limited. By accessing the Website or using the services, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent.
1. Acceptance of Terms and scope
Welcome to procurabl.com (the "Website"), owned and operated by Procurabl Solutions Private Limited ("Procurabl," "we," "us," or "our"). These Terms of Use (the "Terms") govern your organisation's access to and use of the Website, the Lexa Platform, the Supplier Portal, and related services.
By accessing the Website or registering for an account to use the Lexa Platform or Supplier Portal, you confirm that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference. If you register on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, or lack authority, you must not access or use the services.
If you or your organisation has signed a separate Master Subscription Agreement, Order Form, Data Processing Agreement, Statement of Work, purchase order, or other written agreement with Procurabl, that written agreement controls to the extent of any conflict for the services covered by it.
2. Definitions
Lexa Platform means the agentic AI-powered procurement execution platform operated by Procurabl, including BOM ingestion, supplier matching, RFx generation, quote comparison, purchase-order workflows, and delivery traceability.
Supplier Portal means the dedicated interface within the Lexa Platform that enables suppliers to register, complete verification, maintain company profiles, receive and respond to buyer requests, submit bids and proposals, manage platform fees, and participate in sourcing and fulfilment activities.
Features means the tools, agentic AI workflows, and functionalities of the Website, Lexa Platform, Supplier Portal, and related services, as updated from time to time.
3. License to access the services
Subject to these Terms, Procurabl grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website, Lexa Platform, and Supplier Portal solely for your internal business purposes in connection with sourcing, procurement, supplier participation, or related activities, and only in accordance with these Terms and applicable law. You must be at least 18 years old to use the services.
Except for this limited license, Procurabl retains all right, title, and interest in the Website, Lexa Platform, Supplier Portal, Features, workflows, software, interfaces, models owned by Procurabl, matching algorithms, documentation, and related intellectual property. No implied rights or licenses are granted.
4. Acceptable use and restrictions
You may access and use available Features only in accordance with our documentation, these Terms, and applicable law. You must not:
- Disable, bypass, remove, defeat, or interfere with access controls, authentication mechanisms, usage limits, security measures, or NDA gate mechanisms.
- Degrade the performance or availability of the services, including through automated scripts, bots, scrapers, harvesters, or data extraction tools.
- Use any Feature for competitive analysis, benchmarking, or development of competing services or AI models except as expressly permitted in writing.
- Alter, copy, reproduce, reverse engineer, decompile, disassemble, translate, or create derivative works of any Feature, AI model, software, interface, or part of the Platform.
- Access or use the services in any unauthorised, abusive, fraudulent, misleading, or unlawful manner.
Procurabl may modify, suspend, or discontinue all or part of the services or Features from time to time, subject to any commitments in an applicable written agreement.
5. Content and data ownership
Supplier Content. If you use the services as a supplier, you are responsible for all information, data, documents, certifications, proposals, bids, and other materials you upload, submit, or transmit through the Supplier Portal. You represent that Supplier Content is accurate, current, complete, lawful, and does not infringe third-party rights.
License to Procurabl. By submitting Supplier Content, you grant Procurabl a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, reproduce, display, and distribute that Supplier Content strictly as reasonably necessary to operate, maintain, and provide the Supplier Portal and Lexa Platform, including making it available to authorised buyers evaluating you.
Buyer Content and IP protection. Bills of materials, engineering specifications, RFx documents, contracts, and other proprietary materials uploaded by a buyer remain that buyer's property. Procurabl claims no broad ownership rights over Buyer Content. Any license granted to Procurabl is limited to what is necessary to facilitate the relevant procurement workflow, route RFQs, parse data through authorised AI sub-processors, and perform obligations under the applicable agreement.
Counterparty use restrictions. If you are a supplier receiving Buyer Content, you may use it only for the specific sourcing or procurement activity facilitated through the Platform. You must not copy, disclose, distribute, or use Buyer Content for any other purpose without the buyer's prior written consent.
Procurabl does not verify or guarantee the accuracy or completeness of Buyer Content. Buyers may evaluate supplier responses using AI tools, automated scoring, or decision-support systems, and Procurabl is not responsible for independent procurement decisions made by buyers.
6. Role of Procurabl
When operating as a SaaS provider through the Lexa Platform, Procurabl acts as a technology facilitator. In that capacity, Procurabl is not a buyer, seller, broker, agent, or representative of you or any counterparty, and is not responsible for any bid, negotiation, award decision, purchase order, contract, or transaction executed between platform participants.
Where Procurabl is separately engaged to provide managed procurement operations, such as acting as buyer of record, executing physical quality inspections, or managing freight logistics, Procurabl's role, liabilities, and obligations are governed by the specific commercial agreements, purchase orders, Service Level Agreements, or statements of work executed for those physical transactions.
7. AI-assisted outputs and human review
Lexa uses AI and automated systems to assist with BOM parsing, supplier matching, RFQ drafting, quote analysis, anomaly detection, workflow recommendations, and traceability. AI-assisted outputs may be incomplete, inaccurate, or require context-specific review. You are responsible for reviewing outputs before relying on them for commercial, technical, regulatory, or procurement decisions.
Procurabl does not use customer personal data to train or fine-tune large language models unless expressly authorised in a written agreement. Use of personal data is governed by our Privacy Policy and any applicable Data Processing Agreement.
8. Confidentiality, data protection, and compliance
You may access non-public, confidential, or proprietary information belonging to Procurabl, buyers, suppliers, or other counterparties. You must protect Confidential Information using at least reasonable care, use it only as necessary to participate in sourcing and procurement activities through the Platform, and disclose it only as permitted in writing by the owner or as strictly required by law.
Confidential Information does not include information you can demonstrate was lawfully known without restriction before disclosure, independently developed without reference to the Confidential Information, or became public through no breach of these Terms. Confidentiality obligations survive termination.
You must comply with all applicable data-protection and privacy laws, including India's DPDP Act and the GDPR where applicable. To the extent you provide personal data, you represent that you have obtained all rights, consents, notices, and authorisations required by law. Procurabl processes personal data in accordance with our Privacy Policy at https://www.procurabl.com/legal/privacy.
9. Anti-bribery, competition, sanctions, and export compliance
You must comply with applicable anti-bribery, anti-corruption, anti-competitive, trade-sanctions, embargo, and export-control laws, including where applicable the Indian Prevention of Corruption Act, the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act 2010, and similar laws in jurisdictions where you operate.
You must not directly or indirectly offer, give, authorise, request, or promise any financial or other advantage to a Procurabl employee, buyer, supplier, government official, or third party to improperly influence a sourcing event, RFP, RFQ, bid, proposal, award decision, or transaction. You must not engage in bribery, kickbacks, bid-rigging, sham bids, collusion, market allocation, or other corrupt or anti-competitive conduct through the services.
10. System security and user obligations
You must maintain the confidentiality and security of login credentials, passwords, and access codes; provide accurate, current, and complete information about your organisation, capabilities, and bids; promptly update information when it changes; and use the services professionally and only for internal business purposes.
You must not create a false identity, misrepresent your affiliation, use another user's account, disclose information you lack authority to disclose, violate intellectual property rights, introduce malicious code, interfere with service operation, or post or transmit unlawful, fraudulent, abusive, defamatory, threatening, obscene, or otherwise objectionable content.
11. Supplier information and third-party content
Supplier profiles, certifications, capabilities, pricing, lead times, buyer specifications, RFQ materials, and other third-party content may be provided by users or external sources. Procurabl may verify or enrich this information, but unless expressly stated in a written agreement, we do not guarantee that third-party content is accurate, complete, current, or error-free. Reliance on third-party content or communications facilitated through the Platform is at your own risk.
12. Fees, billing, and taxes
Fees for paid plans, supplier activation, verification, managed procurement, or other services are set out in the applicable order, invoice, purchase order, or written agreement. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and payable in the currency and billing cycle specified at purchase. You are responsible for applicable taxes, duties, bank charges, and payment-provider fees, except taxes based on Procurabl's income.
13. Service availability, beta features, and changes
We use commercially reasonable efforts to keep the production Platform available, secure, and performant. The services may be unavailable during maintenance, incidents, third-party outages, force majeure events, or circumstances outside our reasonable control.
We may provide beta, preview, experimental, or early-access features. These features are provided for evaluation, may change or be discontinued at any time, and may be subject to additional terms. Unless stated otherwise, beta and preview features are provided without service-level commitments.
We may modify, add, or remove Features from time to time, provided that material changes to paid services will be handled under the applicable written agreement where one exists.
14. Third-party websites and services
The Website, Lexa Platform, and Supplier Portal may contain links or integrations with third-party websites, applications, compliance databases, payment processors, logistics providers, communications tools, cloud infrastructure, AI providers, or other resources not owned or controlled by Procurabl. Procurabl does not control, endorse, or make representations about third-party services, including their availability, accuracy, reliability, security, content, products, services, or privacy practices. Your use of third-party services is at your own risk and may be subject to their own terms and policies.
15. Suspension and termination
Procurabl may suspend or terminate your access to the Website, Lexa Platform, Supplier Portal, or any Feature immediately upon notice if you violate these Terms, create a security or availability risk, infringe rights of Procurabl or a third party, fail to pay amounts due, create legal or regulatory risk, or if suspension is required by law. Where practicable, we will provide notice and an opportunity to cure.
Upon termination or suspension, you must cease access to the affected services and destroy Confidential Information, Buyer Content, or proprietary materials obtained through the services where required. Sections that by their nature should survive termination remain in effect, including content ownership, confidentiality, indemnification, limitation of liability, disclaimers, and governing law.
16. Privacy Policy
Our collection, use, processing, and protection of personal information are governed by the Procurabl Privacy Policy at https://www.procurabl.com/legal/privacy, which is incorporated by reference into these Terms. Where Procurabl processes personal data on behalf of an enterprise customer, the applicable Data Processing Agreement governs that processing.
17. Disclaimer of warranties
The Website, Lexa Platform, Supplier Portal, Features, and all materials, information, and services made available through them are provided on an "as is" and "as available" basis, without representations or warranties of any kind, whether express, implied, statutory, or otherwise.
To the maximum extent permitted by law, Procurabl disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, security, accuracy of outputs, and accuracy or completeness of Buyer Content, Supplier Content, Platform information, or third-party content. Any material obtained through the services is accessed at your own discretion and risk.
18. Indemnification
You agree to indemnify, defend, and hold harmless Procurabl, its affiliates, and their respective officers, directors, employees, and agents from and against claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your content; your use of the Website, Lexa Platform, or Supplier Portal in violation of these Terms, applicable law, or third-party rights; or your relationship, communications, contracts, or transactions with any buyer, supplier, or other third party facilitated through the services.
19. Limitation of liability
To the maximum extent permitted by applicable law, Procurabl will not be liable for loss of revenues or profits; loss of or damage to reputation or goodwill; loss of use or business interruption; loss of data; wasted management or staff time; procurement opportunity loss; production downtime; or indirect, incidental, special, punitive, exemplary, or consequential damages arising out of or related to these Terms or your use of the services. This applies whether the claim is based in contract, tort, negligence, strict liability, or any other legal theory, even if Procurabl has been advised of the possibility of such damages.
Except for amounts payable under an applicable written agreement, Procurabl's aggregate liability arising under or in connection with these Terms will not exceed the greater of: (i) US $100; or (ii) the total fees paid by you to Procurabl for the affected service in the 12 months preceding the event giving rise to the claim.
20. Notices and complaints
Notices under these Terms must be provided in writing by email, personal delivery, or major commercial courier to Procurabl Solutions Private Limited, Unit No. 126, Cloud 9 Bungalow Society, NIBM Annex, Sainik Vihar Gate, Pune, MH 411048, India.

21. Governing law and dispute resolution
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the services are governed by the laws of India, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Subject to any mandatory law or dispute-resolution clause in a signed written agreement, you consent to the exclusive jurisdiction and venue of the competent courts located in Pune, Maharashtra, India. No failure or delay by Procurabl to exercise any right or remedy will constitute a waiver.
To the maximum extent permitted by law, any dispute must be resolved only on an individual basis, and neither you nor Procurabl will participate in or seek to bring any class, collective, consolidated, or representative action in connection with any dispute.
22. Force majeure
Procurabl will not be liable or responsible for any failure or delay in performance arising from acts beyond its reasonable control, including acts of God, natural disasters, government actions, labour disputes, internet or telecommunications outages, cyberattacks, supplier or infrastructure failures, or similar events.
23. General provisions
These Terms, together with the Privacy Policy and any documents incorporated by reference, constitute the entire agreement between you and Procurabl regarding their subject matter and supersede prior or contemporaneous communications, representations, or understandings.
No waiver by Procurabl of any term or condition is a further or continuing waiver of that term or any other term. If any provision is held invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
24. Changes to these Terms
We may revise these Terms from time to time. We will post the updated Terms on the Website, Lexa Platform, or Supplier Portal and update the "Last Updated" date. Material changes will, where required by law, be communicated through reasonable means, which may include email notice or an in-platform notice. Unless otherwise specified, revised Terms are effective upon posting. Continued access to or use of the services after the effective date constitutes acceptance of the revised Terms.
